Precision Kidd Acquisition says shareholders' representative breached contract

PITTSBURGH — A New York company is suing a shareholders' representative over alleged breach of contract.

Precision Kidd Acquisition, LLC filed a complaint on Oct. 3 in the Court of Common Pleas of Allegheny County against Joseph J. Pass, in his capacity as Representative of the Shareholders as provided in the Agreement and Plan of Merger dated as of January 5, 2015, by and among Precision Kidd Acquisition, LLC, Precision Kidd Merger Sub, Inc., Precision Kidd Steel Co., Inc., and Joseph J. Pass, solely in his capacity as Representative of the Shareholders as provided in said Agreement, a shareholders' representative, alleging that Pass made false representations and warranties to the plaintiff.

According to the complaint, the plaintiff alleges that in January 2015, Precision Kidd Acquisition LLC suffered monetary damages. The plaintiff holds the defendant responsible because he allegedly breached a contractual obligation by failing to indemnify the plaintiff for its losses.

The plaintiff seeks judgment against the defendant in an amount in excess of $35,000 plus court costs and any further relief this court grants. It is represented by George Edward McGrann and Jonathan B. Skowron of Schnader Harrison Segal & Lewis LLP in Pittsburgh.
