Shareholder files fraud allegations against Andora Cranberry LLC, Hilltop Holdings Inc.

PITTSBURGH – A Belle Vernon man alleges a limited liability company breached its operating agreement.

Daniel Duncan Blackwell Jr. filed a complaint on Feb. 21 in the Court of Common Pleas of Allegheny County against Andora Cranberry LLC, Hilltop Holdings Inc., Michael T. McMullen and Thomas A. Dodson alleging breach of contract, fraud and other counts.

According to the complaint, the plaintiff invested $50,000 in Hilltop Holdings in exchange for 13.75 shares of capital stock. The suit states other investments were made in Andora Cranberry later and in April 2015, he requested profit/loss summaries and balance sheets for 2014 from Dodson. The plaintiff alleges he discovered fraud and severe misappropriation in the financial statements.

The plaintiff alleges he informed Dodson in August 2015 of his intention to withdraw his investments and liquidate his shares and was informed his shares would be purchased. He alleges he has not received compensation for his shares in Andora Cranberry.

The plaintiff holds Andora Cranberry LLC, Hilltop Holdings Inc., McMullen and Dodson responsible because the defendants allegedly made decisions without board approval and failed to distribute financial statements within 90 days of the close of each fiscal year.

The plaintiff seeks judgment against the defendants in an amount that exceeds $25,000 plus interest, court costs and any further relief the court grants. He is represented by Christopher L. Blackwell of Blackwell & Associates in Washington.
