Sheila Kles—a tax attorney with more than two decades of experience in both tax-exempt and taxable financings—has joined Ballard Spahr’s national Finance Department as Of Counsel, firm Chair Mark Stewart announced today. She will be based in Philadelphia as a member of the firm’s Public Finance and Tax Groups.

Ninan.
With an LL.M. from New York University, Ms. Kles provides support for tax-exempt and taxable transactions, including financings through general obligation bonds, revenue bonds, tax and revenue anticipation notes, commercial paper, 501(c)(3) bonds, pooled bond programs, multi-family housing, student loan bonds, and various exempt facility bonds.
As bond counsel and as tax counsel, Ms. Kles routinely structures multi-modal transactions that utilize hedging agreements including swaps, guaranteed investment contracts, and repurchase agreements. She analyzes and advises on current refundings, forward refundings, and taxable advance refundings. She also advises clients on the calculation of arbitrage and rebate, and is versed in post-issuance compliance.
