Plaintiff (supplier) sues Defendant (Canadian corporation) for Breach of Contract

PGNA, Inc., doing business as Conair Group, has taken legal action against New Rubber Technologies, a Canadian corporation, over an alleged breach of contract. The complaint was filed by PGNA, Inc. in the Court of Common Pleas of Allegheny County, Pennsylvania on February 17, 2025. Conair Group claims that New Rubber Technologies failed to pay for equipment and parts provided under agreed terms.

According to the court documents, Conair Group is a Delaware corporation with its principal office in Cranberry Township, Pennsylvania. They entered into an agreement with New Rubber Technologies after the latter requested equipment and parts from them. Conair issued Order Acknowledgements to New Rubber Technologies detailing the sale terms and conditions. The Conditions of Sale specified that any disputes arising from the agreement would be resolved in courts located in Allegheny or Butler County, Pennsylvania.

Conair fulfilled its part of the agreement by delivering the requested equipment and parts to New Rubber Technologies. However, despite accepting and retaining these goods, New Rubber Technologies allegedly failed to make full payment for them. As per Conair's records, they are owed $20,993.35 for these transactions. On December 23, 2024, Conair sent a demand letter seeking payment for this outstanding balance but received no response or payment from New Rubber Technologies.

The lawsuit accuses New Rubber Technologies of breaching their contractual obligations by not paying for the delivered goods. In addition to seeking the outstanding amount of $20,993.35 plus interest and costs incurred due to this action, Conair is also demanding attorneys' fees as stipulated in their Conditions of Sale agreement.

Furthermore, Conair has presented an alternative claim based on quantum meruit—an equitable remedy where one party is unjustly enriched at another's expense without a formal contract—asserting that it would be unfair for New Rubber Technologies to retain benefits without proper compensation.

The plaintiff seeks judgment favoring them along with all applicable legal remedies including attorney fees if deemed appropriate by court jurisdiction.
