Lab supply company sued over merger deal

PHILADELPHIA — A stockholder has filed a class-action lawsuit against a laboratory supply corporation and its board of directors, alleging that a merger deal violates federal law.

Robert Berg filed a complaint against VWR Corp. on behalf of all others similarly situated on June 13, in the U.S. District Court for the Eastern District of Pennsylvania. The complaint involves a proxy statement regarding the proposed merger that was issued by the defendants. 

According to the complaint, the plaintiff alleges that he was financially harmed due to the allegedly false information given to them regarding the merger. The plaintiff holds VWR Corp., Harry M. Jansen Kraemer Jr., Nicholas W. Alexos, Robert L. Barchi, Edward A. Blechschmidt, Manual A.H. Brocke-Benz, Robert P. Decresce, Pamela Forbes-Lieberman, Timothy P. Sullivan, Robert J. Zollars, Avantor, Inc., Vail Acquisition Corp. and New Mountain Capital L.L.C. responsible because the defendants allegedly issued false and misleading statements regarding the proposed merger.

The plaintiff requests a trial by jury and seeks to enjoin the defendant. Berg also seeks rescissory damages, court costs and any further relief the court grants. He is represented by Richard A. Maniskas of RM Law, P.C. in Berwyn, Penn.
